Terms of Use
These terms outline how the Packseen service is used. Where you have a signed customer agreement with us, that agreement takes precedence.
1. Who you are contracting with
The service is provided by Packseen Limited, a company registered in England and Wales under company number 17416830. Registered office: 5 Brayford Square, London, England, E1 0SG. Contact: support@packseen.com.
2. The service
Packseen analyses purchasing, packaging and supplier data that you provide, and presents potential savings opportunities, supporting analysis and reports. Packseen is an independent adviser: we do not sell packaging and we are not a party to your supplier contracts.
3. Your account
You must provide accurate account details, keep credentials secure and only invite colleagues who are authorised to see your commercial data. You are responsible for the activity of users you invite. Accounts are for business use.
4. Your data and your responsibility
You confirm you have the right to upload the documents you provide and to have them analysed. Analysis quality depends on the completeness and accuracy of that data. Our output is decision-support information, not procurement, legal, tax or financial advice; you remain responsible for your own supplier decisions.
5. Commercial model: success fee only
There is no access charge for the analysis. Creating an account, submitting a form or uploading documents does not by itself create a success-fee obligation. Any success-fee arrangement must be agreed separately in writing with Packseen. Under that separate written customer agreement, a success fee becomes payable only where an opportunity is accepted, implemented, measured and verified as a qualifying saving. The standard fee is 20% of the verified first-year qualifying saving; you retain 80%. The verified first-year qualifying saving is the result established during the measurement period and annualised in accordance with Packseen's verification methodology. Negotiated rates, where agreed in writing, take precedence.

6. Potential and verified savings
A potential saving is an estimate before implementation and is not a promise of a result. A verified saving is one measured against an agreed locked baseline over the agreed measurement period on a like-for-like basis. The measurement period is a period of actual post-implementation purchasing evidence, normally around 90 days, and is distinct from the first-year saving period. The verified measured result is annualised in accordance with Packseen's verification methodology to give the verified first-year qualifying saving, which is the amount a success fee is calculated on. Only verified savings can give rise to a success fee.
7. Verification, confirmation and challenge
Once a saving meets our verification criteria, we present you with two things together: the measured result and the underlying evidence it's based on. That evidence is the source documents, the comparison used, and the locked baseline it was measured against.
You then have two options:
- Confirm it. You agree the evidence supports the result. The saving is verified and, where a separate written customer agreement is in place, the success fee becomes eligible for invoicing.
- Challenge it. You disagree with the result. You tell us why, and provide any supporting information. We review the challenge before anything becomes eligible for invoicing. No fee is charged while a challenge is open.
Detailed commercial terms, including dispute timelines, final determination and success-fee eligibility, must be agreed separately in writing before any paid success-fee engagement begins.
8. Invoicing and payment
Success fees are invoiced in the currency of the underlying saving. Invoices are issued only after a saving is verified and the fee is eligible. Payment terms, tax treatment and late-payment consequences are set out on the invoice and in the separate written customer agreement.
Interest, set-off and any other payment provisions are subject to a separate written customer agreement.
9. Attribution
Attribution applies only to a specific saving that Packseen identified and presented to the customer, and that the customer then implements and has verified during an agreed attribution period. Packseen’s right to a success fee on such a saving is preserved whether the customer implements it through Packseen, directly, or through another supplier or route.
Attribution does not apply to a saving the customer negotiates or achieves independently of Packseen’s work. A saving that Packseen did not identify and present, or that arises from a change unrelated to an opportunity Packseen presented, carries no success fee. Where the customer considers a saving to be independent of Packseen’s work, the customer may say so in writing and Packseen will not treat it as attributable unless it can evidence the opportunity it presented and the customer’s implementation of it.
The attribution period, success-fee percentage, eligibility rules and evidence required must be agreed separately in writing before any paid success-fee engagement begins. No success fee is payable unless a saving has been verified under that agreement.
10. Fair use
The service includes fair-use limits on document volume and concurrent analysis to keep processing reliable for all customers. We may suspend accounts that attempt to circumvent those limits or misuse the service.
11. Confidentiality
Each party will keep the other's commercial information confidential. We do not disclose your supplier pricing to other customers.
12. Availability and liability
We aim to keep the service available but do not guarantee uninterrupted access. Warranty exclusions, liability caps and indemnities are subject to a separate written customer agreement.
13. Termination
You may stop using the service at any time. Fees already payable on verified savings survive termination. We may suspend or end access for misuse or non-payment.
